CHADDS FORD TOWNSHIP SEWER AUTHORITY

MINUTES

July 30, 2007

The Chadds Ford Township Sewer Authority met on this date in the Chadds Ford Township building. The sole purpose of the meeting was to review the bid proposal/contract for the purchase of a Tertiary Effluent Filter for the CFTSA’s Ridings Wastewater Treatment Plant. This special meeting was advertised as required.

Present: Chairman Vincent Del Rossi, Vice Chairman Anthony Cutrona, Secretary Marc Altman, Treasurer Keith C. Klaver.

Absent: Paul Koch

Also in attendance were J. Michael Sheridan, Esquire.

Chairman Del Rossi called the meeting to order at 6:20 p.m.

The Board reviewed the clarifications provided by Siemens to its bid proposal/contract that was reviewed at the July 17, 2007 meeting of the Authority Board. The Board specifically addressed the issues of third party liability, possible causing of pollution, property damage, determination of breach of warranty, and performance bond. 

The Board requested that Mr. Sheridan receive further clarification of the terms.

On a motion from Mr. Klaver and a second by Mr. Altman, the Board voted to accept Siemens proposal contingent upon Mr. Sheridan’s insuring that: 1) the seller does not solely determine if there is a breach of warranty; 2) that the terms specifically address the limitation of 3^rd party liability as a result of the seller’s negligent acts or omission, including 3^rd party liability for pollution; 3) and that there is a performance guarantee as previously requested by the Board; and that if Mr. Sheridan and Mr. Del Rossi are both satisfied that those terms noted above are met, Mr. Del Rossi is authorized to sign the contract. Motion carried.
